Court records show the company is managed by its sole general partner, Gebbers Orchards, Inc., a fruit-growing business with more than a century of history. Twelve affiliated entities also filed separate Chapter 11 petitions.

Court filings show the company’s board approved pursuing debtor-in-possession financing. The financing is expected to support continued orchard operations during the bankruptcy proceedings.

Board Authorization and DIP Financing

A document called the ‘resolution of the board of directors of Gebbers Orchards, Inc.’ is listed in the petition. The resolution is a formal corporate approval that allowed the debtor and its 12 affiliated entities to enter Chapter 11 bankruptcy and pursue necessary restructuring actions. It states that the board evaluated materials related to Brewster Heights Packing & Orchards’ liabilities and liquidity position, alongside the financial condition of certain subsidiaries and affiliates.

After reviewing alternatives, the board concluded that a Chapter 11 filing was in the best interests of the company, its creditors, and other parties. The board also approved Chapter 11 filings for the company’s affiliated entities as part of the broader restructuring effort.

The board designated Daniel Gebbers and Brooke McGuire as the authorized officers to sign petitions, submit court filings, prepare schedules and statements, and take other necessary actions.

The resolution mentioned Katten Muchin Rosenman LLP as the general bankruptcy counsel and Bush Kornfeld LLP as the general bankruptcy co-counsel.

The restructuring team includes financial consultant Peter Richter, along with financial advisors Enrique Acevedo and Greg Hill. Capstone Capital Markets LLC is the investment banker, and Stretto, Inc. is the claims agent.

To ensure operational continuity for the fruit-growing company, the board approved debtor-in-possession (DIP) financing from Sandton Capital Solutions Master Fund VI, LP.

According to an official press release, the financing is dependent on court approval. It covers orchard operations, logistics and transportation, payroll and employee benefits, grower program support, sourcing operational inputs, and other business activities.

Stalking Horse Partner Revealed

The company press release states that it has signed a preliminary agreement with Legendary Fruit. Based on its terms, the latter would serve as the “stalking horse” or the initial bidder in its restructuring proceedings.

Legendary Fruit, which has worked with Brewster Heights Packing & Orchards, LP for years, is backed by International Farming, an agricultural investment firm that farms more than 7,000 acres in Washington State.

The company said the partnership and proposed DIP financing would allow it to continue normal operations throughout the restructuring. This includes orchard operations, packing facilities, logistics operations, controlled atmosphere storage, food safety compliance, customer service, grower programs, and shipping activities.

Company CEO Daniel Gebbers said that the restructuring is targeted at addressing the company’s balance sheet while preserving operations and ensuring growth for the long term. He added that orchard production, packing operations, customer orders, grower relationships, and employee commitments would continue during the proceedings.

The fruit-growing company has already filed first-day customary motions for continued payment of employee wages, customer programs, and grower activities.

Case filings show that Brewster Heights Packing & Orchards, LP submitted a list of creditors with the largest unsecured claims. Wilbur-Ellis Company LLC is the largest unsecured creditor with a claim of over $2.7 million. Other unsecured creditors include Nutrien Ag Solutions, Inc., Fruit Packers Supply, Northwest Wholesale Inc, and more.

Court filings indicate that after administrative expenses are paid, no funds will be available for distribution to the unsecured creditors.

Court filings show the debtors have requested joint administration of their Chapter 11 cases under the lead case assigned to Brewster Heights Packing & Orchards, LP.

According to the filings, the affiliated entities own real property in Okanogan, Douglas, and Chelan counties, where they operate orchard-related businesses.
